Brad Kalter

General Counsel and Chief Legal Officer at UPC Insurance

Brad Kalter is currently the General Counsel and Chief Legal Officer at UPC Insurance. Prior to this, they served as the Executive Vice President, General Counsel and Corporate Secretary at Exide Technologies from March 2003 to February 2019. In October 2015, they were appointed General Counsel at Exide Technologies.

Kalter is a senior legal advisor and corporate officer for global lead-acid battery manufacturer with fiscal 2013 net sales in excess of $2.5 billion and 10,000 global employees. Brad's primary responsibilities include interacting with the board of directors, corporate secretary and corporate governance activities, SEC filings, global M&A activities, and primary oversight of legal issues for Asia-Pacific and South America regions. Brad also directly manages in-house counsel in the areas of Intellectual Property and vendor/supplier contracting, and oversees 60+ global subsidiaries in North America, South America, Asia and Europe.

Some of their major accomplishments include overseeing and coordinating the 2013 Chapter 11 filing, negotiating terms of a $495 million financing package (combined asset-based and term loan facilities), negotiating legal terms of secured and convertible note offerings exceeding $1 billion in aggregate, negotiating M&A transactions in the U.S., Canada, India, Australia and New Zealand, legal oversight of two equity rights offerings with combined proceeds exceeding $200 million, coordinating de-listing of two publicly–held subsidiaries in India and Spain, and management of significant aspects of corporate emergence from Chapter 11 bankruptcy protection in 2003

Brad Kalter received a Bachelor of Arts from the University of Pennsylvania in Political Science and Communications. Brad then attended Emory University School of Law and received a Doctor of Law (JD).
