Stuart Daroca

Chief Legal Officer at Unreal Estate

Stuart Daroca has extensive experience in the legal field, specializing in corporate law and mergers and acquisitions. Stuart started their career as a Legal Assistant at Wachtell, Lipton, Rosen & Katz in 1992. Stuart then worked at Claro & Cia. as a Summer Legal Associate, where they researched revisions to Chilean corporate law. In 1997, they had a Summer Legal Associate role at JONES DAY®. Stuart also interned as a Legal Intern at the US Department of Commerce, NTIA, where they assisted in policy development and research for telecommunications and internet policy.

Daroca joined Skadden Arps as an Associate in 1998, where they primarily focused on mergers and acquisitions. Stuart represented principals and financial advisors in various corporate transactions and provided advice on anti-takeover strategies, charter and bylaw revisions, and fiduciary duties. Stuart worked at Skadden Arps for ten years before moving to Citigroup, Inc. as a Senior Legal Counsel in the Mergers & Acquisitions division. At Citigroup, they led negotiations and drafting of transaction agreements and supervised outside legal counsel.

In 2009, Daroca joined American International Group, Inc. (AIG) as an Associate General Counsel. Stuart served as the lead attorney for domestic and international mergers, acquisitions, divestitures, and restructuring. Stuart played a crucial role in negotiating the sale of non-core assets and the restructuring of core assets after the 2008 financial crisis. In 2016, they became the General Counsel at USRealty.com, a position they held until the company was acquired by Unreal Estate Inc. in November 2018.

After the acquisition, Daroca assumed the role of Chief Legal Officer at Unreal Estate, a real estate property technology company. Stuart was responsible for all legal matters and provided guidance to the company's executive team and board of directors. In December 2018, they also became a Partner at Sterlington, where they represented corporate and individual clients in complex corporate matters such as mergers and acquisitions, venture capital/private equity investments, and reorganizations.

Throughout their career, Daroca has demonstrated strong expertise in corporate law, mergers and acquisitions, and legal counsel. Stuart has successfully navigated complex transactions and provided valuable legal advice to various organizations.

Stuart Daroca attended the University of California, Berkeley from 1987 to 1991, where they earned their Bachelor's Degree in Political Economy of Industrial Societies. Stuart then pursued further education at Georgetown University Law Center from 1995 to 1998, completing a Juris Doctor (J.D.) degree in Law.
