Mr. M R Bothra completed his B. Com and M. Com from University of Ajmer, Rajasthan in the year 1988 & 1991 respectively. He is a Member of the Institute of Cost and Management Accountants of India (ICMAI) & Fellow Member of the Institute of Company Secretaries of India (ICSI).
He holds more than 28 years of rich experience of working in diverse industry verticals with deep knowledge of compliance management functions in different fields of Corporate Affairs, Investors Relation and General Administration. His core expertise of Corporate and Securities Laws He has an ability to understand the complex business laws, & a positive attitude with focus on timely accomplishment of the group goals. He has a good command on the matters relating to Corporate Governance, Board Management, Securities Laws such as Takeover Regulations, Insider Trading, Related Party Transactions - compliance and reporting, etc. & have extensively dealt with various Ministries, Government Agencies, Stock Exchanges and SEBI and RBI and FEMA related matters.
He started his career with 'Dhanuka Agritech Limited' and worked as Assistant Company Secretary from mid 1992 to late 1995. Job Profile included handling of all matters related to Stock exchange and SEBI , Organising and supervising Board and Committee Meetings, liaisons with Banks and Financial Institutions, Corporate Law Compliances, etc.
Prior to joining Signature Global he has worked with 'DiGiSPICE Technologies Limited' as Vice President - Corporate Affairs & Company Secretary and is responsible for Corporate and Securities Laws, Regulatory and other Compliances related matters. Joined Spice Group in September, 2007 and was entrusted with the responsibility of looking after the Corporate affairs and Secretarial function of the then flagship listed company of the Group "Spice Communication". During this span of 13 years in addition to shoulder the functional responsibilities for different companies with the Spice Group, have worked as member of the core team in 'Spice-Idea Deal Acquisition of Wall Street' and 'Project for Acquisition of Satyam' and led the team on 'Restructuring of business' the project relating to Buy back of securities, Delisting of equity shares from the stock exchange and issue of ESOP. Have been actively involved in matters relating to the Mobility business of the Group and its various Corporate Restructuring activities and overseeing various group companies including foreign ventures of the group.
Prior to joining the Spice Group, worked with 'DCM Shriram Limited' the flagship company of the DCM Group since 1995 till 2007 and was instrumental in implementation of Depository System for transfer of securities (1995) and Institutionalisation of the systems to implement Corporate Governance in line with the requirements of the listing agreement. Handled various assignments of Corporate Restructuring including Merger and Acquisition, Demerger (Hiving off) and Takeovers apart from regular corporate and other allied law compliances, Dealing with Institutional Investors, Assignment relating to issue of convertible warrants, Conversion of securities into equity, Subdivision of equity shares and Issue of bonus shares.
